"There are no magic words, and a forum-selection clause may designate an exclusive forum in a variety of ways," the appellate panel wrote. "The common denominator, though, is that the clause, fairly read, must state in clear language that the parties agree to channel a particular suit or class of suits exclusively to a designated court for resolution."
